Terms used in this agreement: 1. The “client” is a person, business or organisation using any service provided by National Graphics. 2. A “project” is any work undertaken by National Graphics on behalf of the client. 3. “Content” refers to the images, files and text used on the client's website. 4. “Domain name” is the URL (website address) of the client. 5. “Hosting” is the process of keeping the client's website active on the internet. 6. “Live” is the date from which the client's website becomes active on the internet under their chosen domain name. 7. “CMS” means Content Management System. 8. The “contract” refers to the terms and conditions of this document. Terms & conditions: 1. The contract between National Graphics and the client will be under these conditions only. Any variation to these conditions must be agreed in writing (by post, fax or email). 2. It is the responsibility of the client to carry out sufficient research to establish that the nature of their website and its content does not breach any UK or International Laws. National Graphics reserve the right to terminate any existing contract, including hosting, if it suspects the client to be in breach of any of these laws and the client shall indemnify National Graphics against any legal action as a result of any infringement of the law. Furthermore, the client also agrees not to make available any obscene, abusive, defamatory or pornographic material on their website. 3. The content of a client's website is the sole responsibility of the client regarding copyright and usage. Should any claims or legal issues arise concerning the copyright of any content supplied by the client or National Graphics, they will be the sole responsibility of the client. The content is in no way endorsed or approved by National Graphics and it is the responsibility of the client to verify that all the content of their site does not breach any copyright laws. 4. If any images or other content used on the website have been purchased by National Graphics on behalf of the client, it is strictly for use on the client’s website only. National Graphics cannot be held liable for the misuse (this includes the copying, altering or distributing) of any images or other content by the client or any other person or organisation. 5. National Graphics will only commence work on a project after receipt of a £90 (non refundable) deposit from the client. The remaining balance is payable on completion and approval by the client of the website and within 14 days of the site going live on the internet. If full payment is not received by this time, the website will be deactivated. 6.Hosting renewal fees are due on a yearly basis, 14 days before the renewal date which will be annually from the date the website first went live on the internet. The hosting service will not be renewed if payment has not been received or the client requests that we do not host their website. After the first year, National Graphics reserves the right to disable any of our client's websites where full payment for hosting has not already been received. 7. The client is free to use any hosting provider it wishes and is not required to use the hosting service offered by National Graphics although National Graphics will host the client's website if the client requests that we do so (subject to the terms of this agreement). If the client chooses to use National Graphics for its hosting requirements, National Graphics will aim to provide a professional and reliable service to the client at all times and will take reasonable steps to do this. However, National Graphics cannot always guarantee that hosting will be available at all times, particularly in the event of technical issues beyond our control. 8. The client accepts full responsibility for the management and hosting of their domain if they choose not to use the hosting services offered by National Graphics. 9. Domain names (.co.uk, .org.uk,.com, .org, .eu. .me.uk) will be registered on behalf of the client by National Graphics if required. Although the domain names may be registered by National Graphics, the client is the intellectual owner of the domain name and as such is responsible for changing or amending any details as they see fit. 10. It is necessary to renew domain names to keep a website active. If the client's domain name is not renewed when due, it will then be available for others to purchase. National Graphics will not be in any way liable for this. As the intellectual owner of the domain name, it is the ultimate responsibility of the client to renew their domain name when due. National Graphics cannot be held liable if a domain name expires due to non renewal for whatever reason. However, if National Graphics is hosting the client's website, we will make reasonable efforts to contact the client regarding domain name renewal and if the client wishes, will renew the domain name on the client's behalf for as long as the client continues to use National Graphics for its hosting requirements. 11. If the client purchases/ has purchased a domain name through a company other than National Graphics, all responsibility for the administration and renewal rests with the client. 12. The completed design for the client’s site is for use on a single website only. If either the client or National Graphics chooses to terminate any or all existing agreements between themselves for whatever reason, the client may continue to freely use the template for a single website for as long as the client chooses. 13. National Graphics supports the philosophy of Open Source software and commonly uses different kinds to develop and support client’s websites. The CMS software National Graphics uses is Open Source and released under the GNU general public licence. 14. Where National Graphics have agreed to submit the client's URL (domain name) to a selection of internet search engines, the client accepts that no guarantee can be given regarding the placement or rankings of their URL in search results. 15. National Graphics will not be held liable for anything that the client might claim has adversely affected the client's business operation as a result of any product or service offered by National Graphics. Furthermore, under no circumstances shall the maximum liability of National Graphics to the client exceed £250 for whatever reason. 16. The client agrees that National Graphics may provide a link from it's website to the client's website and that the client shall permit National Graphics to add a link to National Graphics’ website at the foot of each page. Links are checked from time to time to ensure they are still accurate but National Graphics cannot guarantee that all links will always point to the specified site. 17. National Graphics is not liable for any loss, damage or corruption to any files or information relating to the client's website. The client is solely responsible for any information or files relating to their site although, as an act of goodwill, NG will make reasonable efforts to keep a copy of the client's site at the client's request and will take weekly backups of the client’s database to help guard against any loss of data whilst National Graphics continues to host the client’s website. 18. National Graphics reserves the right to change or modify the Terms and Conditions of service outlined in this document with no prior notice and clients are advised to check them periodically.
